A corporation is formed by the filing with the Secretary of State the Articles of Incorporation or Certificate of Incorporation. The filing of this document with the State establishes the legal existence of the corporation, but does not set forth the rules and regulations for the operation and management of the company. These rules and regulations are set forth in the corporation’s Code of Regulations and/or By-Laws.
The Code of Regulations is signed by the shareholders and establishes the Directors and the Officer positions, among other items. The By-Laws, signed by the Directors, allow the Shareholders or Directors to create or draft rules and regulations to govern the operations of the business of the corporation in a way that meets the specific needs of the business and the Shareholders.
The Code of Regulations and/or By-Laws can appoint individuals to be Officers or Directors, can dictate how profit generated by the business will be divided among the Shareholders, can require majority or unanimous voting limitations on certain business matters, etc.
There are times when the provisions of the Code of Regulations and/or By-Laws need to be changed or amended. An amendment may be desired by the Shareholders or Directors/Officers of the corporation if the nature of the business of the company changes over time, if new Shareholders are brought into the corporation, if Directors/Officers resign or retire, or if the Shareholders wish to set forth a new or different manner of distribution of corporate profits.
